What this site is
- Essays and frameworks: free to read, no account required.
- Newsletter: free to subscribe with your email.
- Shareholder Agreement Field Guide: free to download in exchange for an email.
- Contact form: to start a conversation about a possible engagement.
This site does notsell anything directly. It doesn't accept payments, host transactions, or run subscriptions. Operational Architecture Engagements are scoped and sold under separate written agreements; nothing on this site constitutes an offer to provide services or a binding contract for services.
Acceptable use
You may:
- Read everything on the Site, share links, and quote essays for editorial, educational, or critical purposes with clear attribution.
- Subscribe and unsubscribe at will.
- Submit a contact form in good faith.
You may not:
- Scrape the Site at a rate that meaningfully loads our servers. Reasonable RSS and one-off browsing are fine; aggressive automated crawling is not.
- Submit false or misleading information through the contact form.
- Attempt to bypass authentication, rate limits, or other security measures.
- Use the Site to send spam, run automated abuse, or otherwise interfere with operations.
- Try to access any non-public portion of the Site or its database.
Content and intellectual property
All essays, framework definitions, the Field Guide PDF, and the other text and images on the Site are © Redpoint Rack LLC unless otherwise noted.
- Quoting: up to a few hundred words for editorial, educational, or critical purposes is welcome with clear attribution and a link back to the source page. This is consistent with U.S. fair use principles but doesn't waive our rights.
- Republishing in full or in substantial part requires our written permission.
- AI training: we do not consent to having essays used as training data for commercial AI models. If you operate such a model, please respect this notice.

The Shareholder Agreement Field Guide
The Field Guide is offered for informational purposes. It is not legal advice. The sample language in the guide is illustrative only. Do not use any clause from the guide without review by a licensed attorney barred in your jurisdiction who represents you personally — not your company. Every agreement is different. Every state is different. Get your own lawyer.

Newsletter and contact submissions
- The newsletter sends approximately one essay per week. Every email includes an unsubscribe link.
- Contact form submissions go directly to the operator. We use what you submit to reply and to scope a possible engagement.
- We don't sell or share your submissions with anyone.
No warranties
The Site and everything on it is provided “as is” and “as available.” We make no guarantees that:
- The Site will be available at any particular time
- The content will be accurate, complete, or current
- The Site is free of errors, bugs, or security defects
- Reliance on any content (including the Field Guide and any essay) will produce any particular outcome
You use the Site at your own risk. Anything that needs to be actioned on — equity, governance, compliance, operations — should be confirmed with qualified professionals who represent you.
Limitation of liability
To the maximum extent permitted by law, Redpoint Rack LLC, its operators, employees, agents, and service providers are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages — or any loss of profits, data, business opportunities, or reputation — arising from your use of (or inability to use) the Site.
Total aggregate liability for any claim related to the Site is capped at one hundred US dollars ($100).
Some jurisdictions don't allow these limitations; in those, our liability is limited to the maximum extent permitted.
Indemnification
You agree to indemnify and hold Redpoint Rack LLC harmless from any claim or liability — including reasonable attorneys' fees — arising from your use of the Site, your submissions, or your violation of these terms.
Governing law and venue
These terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles. Any dispute arising from or relating to these terms or your use of the Site is subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.
Changes to these terms
We may update these terms. When we do, we update the date at the top. Material changes will be noted prominently on this page. Continued use of the Site after changes constitutes acceptance.
If a clause is unenforceable
If any part of these terms is found to be unenforceable, the rest stays in effect. Failure to enforce a term in one instance isn't a waiver of the right to enforce it later.
